
Who Are the Friends?
The
Grinter Place Friends (GPF) are a not for profit volunteer group assisting
the state with activities at the Grinter Place State Historic Site.
Part of the GPF function it so raise funds for events and functions
at the Grinter Place State Historic Site. Volunteers are always needed.
We are always happy to help those interested in volunteering find their
niche! Membership in the GPF is only $17.50 for a family. Other Memberships

Grinter Place Friends, Inc.
By-Laws
ARTICLE I
The Organization
Section 1. The name of this organization shall be Grinter Place Friends, Inc. located at
Grinter Place State Historic Site, 1400/1420 South 78th Street, Kansas City, Kansas 66111. The Grinter Place State Historic Site is a property of the Kansas Historical Society.
Section 2. The purpose of Grinter Place Friends, Inc. is to promote and support the preservation
and interpretation of the Grinter Place State Historic Site as it relates to the interaction
of cultures in 19th century Kansas by providing supplemental funding, volunteer services,
advocacy, public relations assistance, community involvement and educational services.
ARTICLE II
Membership
Section 1. Any individual, group, or organization interested in belonging to the Grinter
Place Friends, Inc. is welcome as a member.
Section 2. Types of membership
A. Types of memberships shall be as follows:
1. Individual
2. Family (individuals living in the same household)
3. Organization/Corporation
4. Honorary (previous lifetime members, Grinter Quilters, and public
officials)
B. The Board of Directors shall establish the annual dues for membership.
C. Each paid membership is entitled to one (1) vote at the annual meeting.
Section 3. Membership Year The membership year shall be from January
1 through December 31.
Section 4. Liability No member shall be personally
liable or responsible for any debts or liabilities of the Grinter Place
Friends, Inc. solely by virtue of his or her status as a member, nor
shall any member be liable for or subject to any assessment.
ARTICLE III
Meetings of Members
Section 1. Annual Meetings
The annual meeting
of the members and the election of the Board of Directors will be held
on the first Saturday of December, each year. However, the Board of
Directors may set an alternate date to be held within (30) days from
the regular meeting date. Notice of the annual meeting shall be sent
to members (30) days in advance of the meeting. The public is welcome
to attend the annual meeting.
Section 2. Special Meetings of Members
The President or three (3) members of the Board of Directors may call
special meetings of the Grinter Place Friends, Inc., whenever they shall
deem a special meeting necessary or advisable. In all cases of special
meetings, the entire membership of the Grinter Place Friends, Inc. shall
be notified not less than three (3) days before the scheduled meeting.
Section 3. Quorum A quorum shall be defined as those present or by proxy
or ballot.
ARTICLE IV
Board of Directors
Section 1. Composition
The
Board of Directors of the Grinter Place Friends, shall consist of seven
(7) elected Directors, plus the Site Administrator of Grinter Place
State Historic Site who shall serve on the Board in an ex-officio capacity.
Directors must be members of the Grinter Place Friends, Inc.
ARTICLE V
Officers
Section 1. Composition Elected officers shall be a President,
Vice -President, Secretary and Treasurer.
Section 2. Elections A. The
Board of Directors shall elect officers at the first board meeting following
the annual meeting of the Grinter Place Friends, Inc. B. Officers shall
be elected by a majority of those present. C. Terms of office for the
officers shall be one (1) year. D. No board member shall hold more than
one (1) office at any one time. E. No officers shall serve more than
two (2) consecutive terms. F. The Board of Directors will fill a vacancy
in any elective office for the remainder of the term by means of election.
G. All Officers and Directors shall be members in good standing of the
Grinter Place Friends, Inc. H. The President, Vice-President, Secretary,
Treasurer or other officers elected by the Board of Directors may be
removed, by a majority vote of the Board of Directors present at a regular
or special meeting of the Board of Directors.
Section 3. Duties of Officers
President
A. Preside at annual business meetings, Board of Directors
meetings and any special meetings. B. Appoint the chairpersons of standing
and special committees. C. Have general and active management of the
affairs of the Grinter Place Friends, Inc. D. In addition to the Treasurer,
may sign all checks, contracts and obligations of the Grinter Place
Friends, Inc.
Vice-President Assist the President A. Preside at all
meetings in the President's absence.
Secretary Record the proceedings
of all meetings and send copies of recorded minutes to the Officers
and Directors. A. Keep a complete and current list of names and addresses
of the members of the Grinter Place Friends, Inc. B. Give notices of
all meetings and conduct the general correspondence of the Grinter Place
Friends, Inc.
Treasurer Maintain all financial records. I. Report on
the financial status of the Grinter Place Friends, Inc. II. Deposit
moneys and disburse funds as ordered by the Board of Directors. III.
In addition to the President, may sign all checks, contracts and obligations
of the Grinter Place Friends, Inc.
ARTICLE VI
Committees
Section 1.
Standing Committees There shall be the following Standing Committees:
Membership Finance Building Additional Standing Committees may be established
when deemed necessary by the Board of Directors.
Section 2. Special
Committees Special Committees may be established when deemed necessary
by the Board of Directors.
Section 3. Chairpersons Chairpersons of standing
and/or special committees shall be appointed by the President. Chairpersons
shall appoint the members of their committees after consultation with
the Board of Directors.
ARTICLE VII
Amendments and Parliamentary Authority
Section 1. Amendments Amendments to these By laws may be made by a two-thirds
(2/3) affirmative vote of the quorum for the annual meeting or a special
meeting. Written notice of the proposed amendment shall be attached
to the notice of the annual meeting or special meeting. Section 2. Rules
The rules contained in the latest revised edition of Roberts Rules of
Order shall govern the Grinter Place Friends, Inc., in all cases which
are not contrary to these By Laws.
ARTICLE VIII
Dissolution Section
1. In the event that the Grinter Place Friends, Inc. wishes to formally
dissolve itself, a two-thirds (2/3) affirmative vote of the quorum for
the annual meeting or a special meeting is required. All members must
be notified by mail of the proposed dissolution at least two (2) weeks
prior to said meeting.
Section 2. If the proposed dissolution is adopted,
the assets of the Grinter Place Friends, Inc. shall be distributed to
the Grinter Place State Historic Site through the Kansas Historical Society or a replacement organization related to the historic site.
